INDIVIDUAL SELLERS AND REGISTERED BUSINESSES

Dear all,

Recently, we have noticed that some of the franchise holders have been giving out to their teams definitions of what exactly registered businesses and individual sellers are. Their effort and team spirit is worthy of admiration but the issue here is that all definitions must be unified and approved by compliance prior to being disseminated among DealShaker users. Otherwise, explanations of those terms that vary could lead to a breach of the principle of equal treatment.

To help clear out the confusion, here are some basic examples which you can use in your everyday work and train your people:

- if you are selling off your old possessions which don’t want and need anymore - you are a private seller
- if you purchase products with the idea to resell them later - you are running a business and you must be registered as a business, as per Amazons’ T&Cs, for example

On the contrary – as per DealShakers’ T&Cs both those categories are defined as individual sellers.

If you are a business owner with a private company, the deals you upload are typical for your business activity and they are run as a regular occupation, then you need to establish a merchant account as a registered business.

CRITERIA FOR NEW FRANCHISEES

Please get familiar with the general criteria for the approval of new franchise holders.

Exceptions shall apply if the company does not receive an application from a suitable candidate who is in full compliance with the requirements listed below:

  • franchise holder’s current whereabouts are in the area of the Franchisee’s business activity
  • proven business management background (clean business background - no bankrupt or insolvent/ in liquidation company/ies)
  • proven clean criminal record
  • proven OLN MLM background
  • no sanctions for violation of OLN T&C and all applicable policies and procedures
  • franchise holder is not under compliance monitoring
  • proven track record with a variety of activities for the popularization of the ONE Ecosystem
  • proven track record of popularizing OLN’s mission and values; training users of how to put them to good use in their team’s everyday work
  • conducting business activities and day-to-day operations which are compliant with local legislation
  • being familiar with specific DealShaker T&Cs, CDD and AML/CFT policies and procedures
  • be fully aware that signing the Franchise contract is a big responsibility and treat his/her new role seriously
  • have a clear concept of how to apply his/her sale strategy to the specific target market and its users

Other criteria related to logistics, technical background and similar experience will be taken under consideration when taking the decision for the next franchisees.

Make sure you send us the following – username, reason why you think you are a suitable candidate, CDD of the individual and the company, additional information if explicitly requested by corporate.

Selling Shares from DealShaker Franchisee’s companies
Please be informed that the DealShaker Franchisee model is Intuitu personae (Because of the person). This means that any sells of shares from the DealShaker Franchisee company by current franchisees are totally unacceptable and they are NOT approved by the parent company. 

Selling shares from the company that holds the DealShaker franchise, can lead to an immediate replacement of the person, chosen by the company as a franchisee. Such a sale is considered a fraud, especially when the seller misleads the buyers that shares from the company, holding the  franchise, are equal to buying shares from the DealShaker company itself. 

Please be informed that the parent company grants specific rights to the franchise holder for the terms explicitly written in the contract, but those rights can be canceled if a serious violation is proven.

We will not get tired to repeat and remind: Everyone, please, think twice before accepting such “business proposals” because the companies that hold the franchise are separate legal entities that exist independently from the DealShaker platform.

Approval procedure of merchants and Deals for DS Expos

DealShaker expo, by definition, is an event with more than 50 merchants. If an event has less than 50 merchants it is called ‘A local bazar’.

All DealShaker Expo proposals go to the Franchisee, first! Then the franchisee sends the proposal to franchise@dealshaker.com for approval.

If there is a merchant with merchant account from a different country that the country the expo is taking place, the Franchisee responsible for deals approval, contacts the franchisee the merchant is from via email for the merchant account and/or deals approval.

The franchisee in that country the merchant is from must collect the necessary fees and review the deals.

If there is no Franchisee in that county the merchant is from, all the deals must be approved by corporate and sent to the Dealshaker support for approval.


Marketing materials, banners and DealShaker logo will be available for the franchisees very soon. 

TURNOVER FEE UPDATES


Aiming to ease the process of merchant onboarding DealShaker franchisees will be granted a 3-month gratis period without a turnover fee. Turnover fee will become mandatory commencing October 1st. 


IMPORTANT DEALSHAKER UPDATES

Dear all,

It has come to our attention that recently merchants, working on other platforms have been claiming to work on behalf of DealShaker and the OneLife Network. Please be informed that no other platform, except for DealShaker and its franchisees, and no other company, except for OneLife (or OneCoin) has the right to operate with the DealShaker trademark and the services it provides. 

Be extremely cautious with any information you receive from other companies, individuals or communication channels which are different from the corporate approved ones. If you have any doubts or questions, you can always contact the OneLife teams to get the latest information, related to our projects.

Dear all,

Recently, it has come to our attention that several merchants have started to conduct fraudulent practices outside of the Dealshaker platform which constitutes a high risk of money loss to the people who participate. The deals in question are about sales of gold, real estate properties, motor vehicles and other products of high value. 

Many of the above mentioned  deals are accompanied by a tempting proposal by the merchant – the buyer should transfer his accounts to the merchant and pay part of the deal price outside of the platform in exchange of some expensive good or service. Bear in mind that this practice is strictly forbidden according to the applicable OneLife T&C 18(2). 

Please have in mind that none of those projects/deals are approved or supported by Corporate. If someone has any information about such projects/deals please do not hesitate to inform OneLife Compliance asap, so that we can take measures to stop those fraudulent practices and sanction the wrongdoer accordingly and with an immediate effect.


DEALSHAKER FRANCHISE COMPLIANCE

General information on how the franchise model functions

1. DealShaker prices are formed in minimum 50 % ONE and 50 % EUR (if EUR part is included in the deal price). The Merchant Bonus is generated every time a buyer redeems/uses a deal coupon from a merchant, registered in your downline. The Merchant Bonus is generated on the basis of the Advertising fee which is applied to the Merchant’s used deal coupons. The DealShaker Advertising fee is 25% of the cash value of the used coupon’s price.

If the merchant is not reluctant to pay that 25 % fee from the EUR part of the price, cannot afford to offer such a large percentage of ONE from the deal price and is also willing to receive the cash part in his wallet and/or bank account, he is allowed to use the discount coupon option. If the merchant chooses to use that option, he/she must be informed to write the exact price and % discount in coins in the title of the deal. The price of the deal has to be just in ONEs (with the discount), while the EUR part should be paid outside the platform to the merchant bank account and/or wallet. A compulsory condition - if the deal is high in value it should be written in the deal description that the EUR part will be provided after the contract agreement has been signed. Buyers should be informed that such deals bear a higher risk because just the discount coupon passes through the DealShaker platform and not the good/service itself. Therefore, the usage of payment methods for the EUR part, such as wallets or payment cards with a refund policy, is highly recommended.

2. We have noticed that franchisee’s agreements have been signed for territories where cryptocurrency and/or their trade is forbidden by law. To all franchisees - please follow our weekly updates for further information regarding the countries which you are responsible for in order not to deliver incorrect information to merchants about when the coin will be traded. We will try to negotiate with such governments, but the outcome is unknown.

3. Information about DS expos - all expos on the territory of the franchisee should first be reviewed and approved by Corporate. For expo requests please send an email to franchise@dealshaker.com. The aim – you will be provided with guidance by the company about whether such an expo is compliant with local legislation, whether it is allowed or not and how it should be organized according to local regulations and the future company plans for the territory in question. The DS expo schedule will be strictly coordinated by Corporate to make sure that no expos are organized on one and the same date. If that happens, it can complicate the expo process both for expo organizers and Corporate.

4. The Franchise agreement is personal and must not be transferred to a second party without the prior written consent of the Franchisor. The sub-franchise should only be taken with prior consent by the franchisor. Bear in mind that we will agree with your choice if it is in corporate’s interest. We are expecting your proposals on what the payment for the sub-franchisee should be.

5. If the franchisee is doing the CDD procedure for a merchant and the merchant seems to be of high-risk or if the franchisee has any doubts or questions, please contact Compliance asap.

6. Will give you soon manual how to calculate turnover fee using DealShaker. Teams are working towards finding a better solution, but for now this will do the job.


THE OFC BUNDLES OFFERING. 2017 OFCs

As said months ago the conversion was planned to start in March. In the beginning of this month the conversion of 2017 OFCs has started, and during this month everyone is receiving 20% of the coins they are entitled to.

We have received several complaints about the conversion rate. I know that many of you were expecting a different rate, but there is a reason for this.

I believe that all of you will agree that ONE listed on an exchange is the Company's MOST important goal at the time being. All that we have worked for so hard, all our efforts rely on this event.

Especially now, at this stage of our growth it is crucial to make sure everything goes smooth and to focus on our priorities.

There is no room for the price of the coin to be destabilized. We must manage to maintain stable price of ONE.

The conversion rate of 2017 OFCs to ONE won’t damage the price of the coin and won’t affect the liquidity. Currently everyone is receiving the exact same amount of ONE that they have initially converted.


!NB Due to numerous inquiries by our users, please note that the 2017 OFCs will be converted at the same rate as ONE was converted to OFC. 

The Offering is in the so-called Mandatory Discount Period. Since January 8th participants are able to convert their accumulated OFCs into ONEs.

Here is some useful information on how important it is to have a written contract.

In the 21st century, professionals are all too aware of the long history of deal-breaking and lawsuits that have taken place all around them.

Contracts are important because they outline expectations for both parties and protect both parties in case those expectations aren't met. 

Hopefully, you’ll never have to take legal actions based on the contract which means the project will end eventually, but to take preliminary precautions is always the best thing to do.

Contracts are compulsory as they:

- provide proof of details

- prevent misunderstanding from arising

- provide security and peace of mind

- serve as an official record of the agreement

Don’t forget - both parties should keep a copy of the contract as a file for several years in case an issue arises later on!


COMPLIANCE - GENERAL INFORMATION

THE ONELIFE CONCEPT IS A RESPONSIBILITY VERY FEW CAN MANAGE.

Compliance aims to guide IMA-s to operate in the right direction. It strives to repair the damages done by bad practices.
Compliance attempts to provide OneLife Network’s IMA-s the chance to experience an innovative, intelligent and efficient technologies operating in a transparent environment, without unfair competition.
Compliance calls for strengthening the cooperation within OLN (OneLife Network) and insist on equal respect and rights to each member of the network.

OneLife will change the world only when unification set to be the eternal goal, when we enhance mutual assistance, solidarity, responsibility, tolerance and respect. 

In the OneLife network, all members share the same rights and responsibilities!

GAPS IN THE COMPLIANCE KNOWLEDGE LEAD TO:

  • Unreasonable fear Compliance is only sanctioning department
  • Belief equality between OneLife IMA-s does not exist
  • Exposure of IMA-s to fraudulent practice
  • Insinuations generate mistrust which is used by some OneLife IMA-s to divert attention from their own wrongful practices and actions
  • Underestimation of OneLife goal for transparency

BAD PRACTICES WHICH ARE A SUBJECT OF SEVERE SANCTIONS:

  • Sale of coins and/or educational packages as an investment opportunity (coins; accounts, etc.). OneLife is not an investment company and does not offer any investment opportunities
  • Cross recruiting - Instead of helping the network rebuilds itself, it destroys it by taking pieces from it
  • Unethical behavior
  • Onboarding with fraudulent promises
  • Misuse of power by OneLife IMA-s
  • Dissemination of incorrect and misleading information due to lack of professionalism, awareness and/ or greed

WHAT ARE SANCTIONS AND WHY ARE THEY APPLICABLE?
 
Sanctions have become the tool to respond to major violations from SPAM or/ fraudulent, deceptive or unethical business conduct by any IMA to identity theft, financial fraud and counter terrorism.
 
Violation of the applicable T&C, IMA Agreement, any fraudulent, deceptive or unethical business, conducted by an IMA may result, at Company’s discretion, in one or more of the following corrective measures, with effect from the date of its establishment:

  • Issuance of a written warning or admonition;
  • Requiring the IMA to take immediate corrective measures;
  • Imposition of a fine, which may be withheld from the account; €100 for incorrect personal data or the lack of it and 250 to €500 penalty for more minor violations and up to 5100 for major violations;
  • Loss of rights to one or more bonus payments;
  • Any other measure, which the Company deems practicable to implement to equitably resolve any damage caused partially or exclusively by the IMAs policy violation or contractual breach;
  • Suspension of the individual’s IMA position for one or more pay periods;
  • Involuntary cancellation of the offending IMA position;
  • Immediate removal of the IMA’s web page(s) and termination of the IMA’s position;
  • Any other measures explicitly allowed within any provision of the General Terms and Conditions, the present IMA Agreement or allowed by law

The IMA is only entitled to a commission if he or she is not in violation of the General Terms and Conditions and the IMA Agreement.
 
Factors that may modify the application of sanctions:
 
Sanctions could be modified based on mitigating factors or factors that may reflect in a greater damage,caused by the breach and thus work against the offender, ultimately increasing the penalty.
 
Examples of aggravate sanctioning include:

  • Multiple offences
  • Breach of sensitive information such as personal data  
  • High volume of people or data affected  
  • High exposure for the Company  
  • Large organizational expense incurred  
  • Activities, hampering the investigation, such as providing of misleading and/or incorrect information
  • Actions with a negative influence on others  
  • If the violation is continuing even after an official warning  


Factors that could mitigate sanctioning include:

  • Breach occurred as a result of attempting to help an IMA  
  • Victim(s) that suffered no harm
  • Offender voluntarily admitted the breach and cooperated with the investigation
  • Offender showed remorse and has recovered damages
  • Action was taken under pressure from an individual in a position of authority  

This practice enables the application of general principles that lead to fair and consistent outcomes.

WHISTLE BLOWING REPORT

In order to keep our IMAs’ privacy and at the same time to implement efficient control and reporting system we have developed a reporting system allowing reporting and monitoring functions without exposing the identity of the person that has sent the report and creating unnecessary tension in the community.

Whistleblowers inform the Company of any kind of information or activity that can be deemed illegal, unethical, or not correct with the polices, procedures and guidelines of the OneLife organization.

WHEN SHOULD YOU SEND A WHISTLE BLOWING REPORT?

If you think an entity or individual is involved in wrongdoing within our OneLife community, and you want to report it, please use the Whistle Blowing Report. Once completed, this report becomes CONFIDENTIAL. All personal data collected will only be used for purposes, which are directly related to the whistleblowing case like, for example, contacting you in case we need more information.

Every whistleblower will have to provide an evidence of the claim made in the report. Please send your Whistle Blowing Report to: compliance@onelife.eu.

IT development

* Work for creating an additional mechanism, based on the One Ecosystem concept which establishes the coin price stability and also facilitates the Exchange demand- done.

*Ongoing work for the application of Exchange limits based on the liquidity (no limits applicable from wallet to wallet as it is an internal transfer).

Full Demo access and video for the Exchange platform required to be provided to the CB prior to the side visit - work finished and they are provided to the authorities.

Licensing and IT Audit

NBI is the National Investigation Bureau issued the clearance certificates and send to CB in soft copy. Hard copy was further requested. Police certificate now received by CB. They will further review the full file according to compliance rules and regulations and a side visit will be scheduled. Currently waiting for the exact date of the visit to be communicated by the CB. Once the Side Visit is completed and, if all the small details are cleared out (the ONE is approved ), then The Exchange company will receive temporary permission allowing it to start the setup and operation. 

The Exchange company initiates a follow-up with the CB occasionally, as it is expecting the final comments or approval on the following documents which have been submitted long time ago: 
a) scope of work, 
b) business continuity plan and disaster recovery plan, 
c) operating methodology,
d) list of cryptocurrencies allowed to be traded on the platform.

*Exchange limits – There is an ongoing discussion regarding the limits. Limits between coin accounts are not applicable as it is an internal transfer and it will ease the parties in co-ownership.

*Ongoing discussions with two new payment gateways

Compliance

*Countries: No new updates. Regarding the countries, please note that the delay in their answers is not at all related to any specific reason, it is simply a process where each country has its own modus operandi (habits of working). Simply make sure you stay up-to-date by following the weekly update.

*European license:
- 2 applications for licenses have already been submitted and are currently being processed;
- bank account opening - the KYC and Compliance forms are filled, signed, stamped and sent back. A meeting with the bank team will take place next week about the opening of a bank account.
- awaiting an exact date for an interview with the relevant authorities; expected feedback in the middle of August for the approval of ONE to be traded on the Exchange;
- waiting to get an approval on SOW (scope of work);
- waiting to get an approval over the list of currencies to be traded. 

NB! If the specific coin doesn't have the permission to be exchanged, traded or offered - it is ILLEGAL. 

If there is no permission granted for a certain coin to be traded on an exchange, that exchange can only trade conventional cryptocurrencies. Therefore, once again we would like to remind you all that you should be extremely cautious in case you are contacted by ambitious entrepreneurs that have recently appeared on the market, offering fancy crypto products.

Selling Shares from DealShaker Franchisee’s companies


Please be informed that the DealShaker Franchisee model is Intuitu personae (Because of the person). This means that any sells of shares from the DealShaker Franchisee company by current franchisees are totally unacceptable and they are NOT approved by the parent company. 

Selling shares from the company that holds the DealShaker franchise, can lead to an immediate replacement of the person, chosen by the company as a franchisee. Such a sale is considered a fraud, especially when the seller misleads the buyers that shares from the company, holding the  franchise, are equal to buying shares from the DealShaker company itself. 

Please be informed that the parent company grants specific rights to the franchise holder for the terms explicitly written in the contract, but those rights can be canceled if a serious violation is proven.

We will not get tired to repeat and remind: Everyone, please, think twice before accepting such “business proposals” because the companies that hold the franchise are separate legal entities that exist independently from the DealShaker platform.

Approval procedure of merchants and Deals for DS Expos

DealShaker expo, by definition, is an event with more than 50 merchants. If an event has less than 50 merchants it is called ‘A local bazar’.

All DealShaker Expo proposals go to the Franchisee, first! Then the franchisee sends the proposal to franchise@dealshaker.com for approval.

If there is a merchant with merchant account from a different country that the country the expo is taking place, the Franchisee responsible for deals approval, contacts the franchisee the merchant is from via email for the merchant account and/or deals approval.

The franchisee in that country the merchant is from must collect the necessary fees and review the deals.

If there is no Franchisee in that county the merchant is from, all the deals must be approved by corporate and sent to the Dealshaker support for approval.

Marketing materials, banners and DealShaker logo will be available for the franchisees very soon. 

TURNOVER FEE UPDATES

Aiming to ease the process of merchant onboarding DealShaker franchisees will be granted a 3-month gratis period without a turnover fee. Turnover fee will become mandatory commencing October 1st. 


IMPORTANT DEALSHAKER UPDATES

Dear all,

It has come to our attention that recently merchants, working on other platforms have been claiming to work on behalf of DealShaker and the OneLife Network. Please be informed that no other platform, except for DealShaker and its franchisees, and no other company, except for OneLife (or OneCoin) has the right to operate with the DealShaker trademark and the services it provides. 

Be extremely cautious with any information you receive from other companies, individuals or communication channels which are different from the corporate approved ones. If you have any doubts or questions, you can always contact the OneLife teams to get the latest information, related to our projects.

Dear all,

Recently, it has come to our attention that several merchants have started to conduct fraudulent practices outside of the Dealshaker platform which constitutes a high risk of money loss to the people who participate. The deals in question are about sales of gold, real estate properties, motor vehicles and other products of high value. 

Many of the above mentioned  deals are accompanied by a tempting proposal by the merchant – the buyer should transfer his accounts to the merchant and pay part of the deal price outside of the platform in exchange of some expensive good or service. Bear in mind that this practice is strictly forbidden according to the applicable OneLife T&C 18(2). 

Please have in mind that none of those projects/deals are approved or supported by Corporate. If someone has any information about such projects/deals please do not hesitate to inform OneLife Compliance asap, so that we can take measures to stop those fraudulent practices and sanction the wrongdoer accordingly and with an immediate effect.


DEALSHAKER FRANCHISE COMPLIANCE

General information on how the franchise model functions

1. DealShaker prices are formed in minimum 50 % ONE and 50 % EUR (if EUR part is included in the deal price). The Merchant Bonus is generated every time a buyer redeems/uses a deal coupon from a merchant, registered in your downline. The Merchant Bonus is generated on the basis of the Advertising fee which is applied to the Merchant’s used deal coupons. The DealShaker Advertising fee is 25% of the cash value of the used coupon’s price.

If the merchant is not reluctant to pay that 25 % fee from the EUR part of the price, cannot afford to offer such a large percentage of ONE from the deal price and is also willing to receive the cash part in his wallet and/or bank account, he is allowed to use the discount coupon option. If the merchant chooses to use that option, he/she must be informed to write the exact price and % discount in coins in the title of the deal. The price of the deal has to be just in ONEs (with the discount), while the EUR part should be paid outside the platform to the merchant bank account and/or wallet. A compulsory condition - if the deal is high in value it should be written in the deal description that the EUR part will be provided after the contract agreement has been signed. Buyers should be informed that such deals bear a higher risk because just the discount coupon passes through the DealShaker platform and not the good/service itself. Therefore, the usage of payment methods for the EUR part, such as wallets or payment cards with a refund policy, is highly recommended.

2. We have noticed that franchisee’s agreements have been signed for territories where cryptocurrency and/or their trade is forbidden by law. To all franchisees - please follow our weekly updates for further information regarding the countries which you are responsible for in order not to deliver incorrect information to merchants about when the coin will be traded. We will try to negotiate with such governments, but the outcome is unknown.

3. Information about DS expos - all expos on the territory of the franchisee should first be reviewed and approved by Corporate. For expo requests please send an email to franchise@dealshaker.com. The aim – you will be provided with guidance by the company about whether such an expo is compliant with local legislation, whether it is allowed or not and how it should be organized according to local regulations and the future company plans for the territory in question. The DS expo schedule will be strictly coordinated by Corporate to make sure that no expos are organized on one and the same date. If that happens, it can complicate the expo process both for expo organizers and Corporate.

4. The Franchise agreement is personal and must not be transferred to a second party without the prior written consent of the Franchisor. The sub-franchise should only be taken with prior consent by the franchisor. Bear in mind that we will agree with your choice if it is in corporate’s interest. We are expecting your proposals on what the payment for the sub-franchisee should be.

5. If the franchisee is doing the CDD procedure for a merchant and the merchant seems to be of high-risk or if the franchisee has any doubts or questions, please contact Compliance asap.

6. Will give you soon manual how to calculate turnover fee using DealShaker. Teams are working towards finding a better solution, but for now this will do the job.


THE OFC BUNDLES OFFERING. 2017 OFCs

Especially now, at this stage of our growth it is crucial to make sure everything goes smooth and to focus on our priorities.

There is no room for the price of the coin to be destabilized. We must manage to maintain stable price of ONE.

The conversion rate of 2017 OFCs to ONE won’t damage the price of the coin and won’t affect the liquidity. Currently everyone is receiving the exact same amount of ONE that they have initially converted.


!NB Due to numerous inquiries by our users, please note that the 2017 OFCs will be converted at the same rate as ONE was converted to OFC. 

The Offering is in the so-called Mandatory Discount Period. Since January 8th participants are able to convert their accumulated OFCs into ONEs.

Here is some useful information on how important it is to have a written contract.

In the 21st century, professionals are all too aware of the long history of deal-breaking and lawsuits that have taken place all around them.

Contracts are important because they outline expectations for both parties and protect both parties in case those expectations aren't met. 

Hopefully, you’ll never have to take legal actions based on the contract which means the project will end eventually, but to take preliminary precautions is always the best thing to do.

Contracts are compulsory as they:

- provide proof of details

- prevent misunderstanding from arising

- provide security and peace of mind

- serve as an official record of the agreement

Don’t forget - both parties should keep a copy of the contract as a file for several years in case an issue arises later on!


COMPLIANCE - GENERAL INFORMATION

THE ONELIFE CONCEPT IS A RESPONSIBILITY VERY FEW CAN MANAGE.

Compliance calls for strengthening the cooperation within OLN (OneLife Network) and insist on equal respect and rights to each member of the network.

OneLife will change the world only when unification set to be the eternal goal, when we enhance mutual assistance, solidarity, responsibility, tolerance and respect. 

In the OneLife network, all members share the same rights and responsibilities!

GAPS IN THE COMPLIANCE KNOWLEDGE LEAD TO:

  • Unreasonable fear Compliance is only sanctioning department
  • Belief equality between OneLife IMA-s does not exist
  • Exposure of IMA-s to fraudulent practice
  • Insinuations generate mistrust which is used by some OneLife IMA-s to divert attention from their own wrongful practices and actions
  • Underestimation of OneLife goal for transparency

BAD PRACTICES WHICH ARE A SUBJECT OF SEVERE SANCTIONS:

  • Sale of coins and/or educational packages as an investment opportunity (coins; accounts, etc.). OneLife is not an investment company and does not offer any investment opportunities
  • Cross recruiting - Instead of helping the network rebuilds itself, it destroys it by taking pieces from it
  • Unethical behavior
  • Onboarding with fraudulent promises
  • Misuse of power by OneLife IMA-s
  • Dissemination of incorrect and misleading information due to lack of professionalism, awareness and/ or greed 

WHAT ARE SANCTIONS AND WHY ARE THEY APPLICABLE?
 
Sanctions have become the tool to respond to major violations from SPAM or/ fraudulent, deceptive or unethical business conduct by any IMA to identity theft, financial fraud and counter terrorism.
 
Violation of the applicable T&C, IMA Agreement, any fraudulent, deceptive or unethical business, conducted by an IMA may result, at Company’s discretion, in one or more of the following corrective measures, with effect from the date of its establishment:

  • Issuance of a written warning or admonition;
  • Requiring the IMA to take immediate corrective measures;
  • Imposition of a fine, which may be withheld from the account; €100 for incorrect personal data or the lack of it and 250 to €500 penalty for more minor violations and up to 5100 for major violations;
  • Loss of rights to one or more bonus payments;
  • Any other measure, which the Company deems practicable to implement to equitably resolve any damage caused partially or exclusively by the IMAs policy violation or contractual breach;
  • Suspension of the individual’s IMA position for one or more pay periods;
  • Involuntary cancellation of the offending IMA position;
  • Immediate removal of the IMA’s web page(s) and termination of the IMA’s position;
  • Any other measures explicitly allowed within any provision of the General Terms and Conditions, the present IMA Agreement or allowed by law

The IMA is only entitled to a commission if he or she is not in violation of the General Terms and Conditions and the IMA Agreement.
 
Factors that may modify the application of sanctions:
 
Sanctions could be modified based on mitigating factors or factors that may reflect in a greater damage,caused by the breach and thus work against the offender, ultimately increasing the penalty.
 
Examples of aggravate sanctioning include:

  • Multiple offences
  • Breach of sensitive information such as personal data  
  • High volume of people or data affected  
  • High exposure for the Company  
  • Large organizational expense incurred  
  • Activities, hampering the investigation, such as providing of misleading and/or incorrect information
  • Actions with a negative influence on others  
  • If the violation is continuing even after an official warning  


Factors that could mitigate sanctioning include:

  • Breach occurred as a result of attempting to help an IMA  
  • Victim(s) that suffered no harm
  • Offender voluntarily admitted the breach and cooperated with the investigation
  • Offender showed remorse and has recovered damages
  • Action was taken under pressure from an individual in a position of authority  

This practice enables the application of general principles that lead to fair and consistent outcomes.

WHISTLE BLOWING REPORT

In order to keep our IMAs’ privacy and at the same time to implement efficient control and reporting system we have developed a reporting system allowing reporting and monitoring functions without exposing the identity of the person that has sent the report and creating unnecessary tension in the community.

Whistleblowers inform the Company of any kind of information or activity that can be deemed illegal, unethical, or not correct with the polices, procedures and guidelines of the OneLife organization.

WHEN SHOULD YOU SEND A WHISTLE BLOWING REPORT?

If you think an entity or individual is involved in wrongdoing within our OneLife community, and you want to report it, please use the Whistle Blowing Report. Once completed, this report becomes CONFIDENTIAL. All personal data collected will only be used for purposes, which are directly related to the whistleblowing case like, for example, contacting you in case we need more information.

Every whistleblower will have to provide an evidence of the claim made in the report. Please send your Whistle Blowing Report to: compliance@onelife.eu.

Evidences could be: screen shots of skype/viber/facebook/other social media chats and communications; e-mail correspondence; a declaration in writing, i.e. Whistle Blowing Report, (please fill in your personal data) and signed by the IMA.

Please fill in the Whistle Blowing Report carefully as this represents your case . We will review the information you provided, investigate the case and come back to you with feedback, when our investigation is completed.

We would like to remind all OneLife members to strictly adhere to the provisions in our Terms and Conditions, to which all members are legally bound, concerning thedissemination of false information regarding the OneLife Network company.

Any proven violation including, but not limited to misleading information about an IMA official Leadership Rank, OneLife products and services or the company’s compensation plan may result in severe sanctions, reaching fines up to 5 100 EUR, effective immediately.

Exchange platform weekly summary 11

Week 11

IT development

*Ongoing work for creating an additional mechanism, based on the One Ecosystem concept which establishes the coin price stability and also facilitates the Exchange demand.

*Ongoing work for the application of Exchange limits based on the liquidity (no limits applicable from wallet to wallet as it is an internal transfer).

CDD platform to be built separately from the Exchange (not compulsory to be done right from the start, but mandatory to happen in two months after the start) - now under development and will become ready and fully operational by mid-September after the full payment has been settled. Full demo access and video for the Exchange platform required to be provided to the CB prior to the side visit - ongoing work.

Licensing and IT Audit

*Training completed and certificates issued, and, after that the originals were sent to the CB for registration; the CB will then send these to the Compliance committee (CB) for it to add them to the Exchange company files.

NBI is the National Investigation Bureau where the team has spent almost a whole day. The NBI has issued a clearance report, considering their profiles, to be presented to the CB in one week; they took their signatures on a commitment document as well (by that stating that they commit to fighting Money Laundering and Terrorism Financing).

The next step is, as expected, the Side Visit. The CB has already informed the Exchange company about what this side visit covers and further information with IT service provider was shared (demo access and video), so that they can prepare. Currently waiting for the exact date of the visit to be communicated by the CB. Once the Side Visit is completed and, if all the small details are cleared out, then The Exchange company will receive a temporary permission, allowing it to open a bank account and allowing it to start the setup and operation as well.

The Exchange company initiates a follow-up with the CB every now and then as it is expecting the final comments or approval on the following documents that were submitted a relatively long time ago:

a) scope of work,
b) business continuity plan and disaster recovery plan,
c) operating methodology,
d) list of cryptocurrencies allowed to be traded on the platform.

*Exchange limits – There is an ongoing discussion regarding the limits. Limits between coin accounts are not applicable as it is an internal transfer and it will ease the parties in co-ownership.
*Ongoing discussion for the priorities in the Exchange and how they will be executed

Compliance

*Countries: A follow-up regarding the countries is done on a regular basis, 2 answers have been received lately - about Germany and South Africa:

- Germany: A license from a foreign supervisor about a cross-border business is only valid according to MIFID notifications. This means that a foreign license may only be notified from a EU state member.

- South Africa:
1. In terms of the South African Reserve Bank Position Paper on Virtual Currencies (now referred to as crypto assets), 2014, Crypto Assets (CAs) are not recognized as a legal tender in RSA and any merchant or beneficiary may refuse CAs as a means of payment. Therefore, no legal protection or recourse is afforded to users, traders or intermediaries of CAs and such activities are performed at the end-users sole and independent risk. It follows therefore that CAs are currently unregulated and that no licensing regime is in place.

2. However, it should be noted that, although CAs are currently not regulated in the Republic of South Africa (RSA), all cross-border flows of value are regulated in terms of the Exchange Control Regulations, 1961. Exchange Control Regulation 10(1)(c) states that: “No person shall, except with permission granted by the Treasury and in accordance with such conditions as the Treasury may impose - enter into any transaction whereby capital or any right to capital is directly or indirectly exported from the Republic.” Therefore, if an individual or legal entity purchases CAs in RSA which is used to externalize ‘any right to capital’, such individual will be in contravention of Exchange Control Regulation 10(1)(c). Inquiry for a further clarification regarding Germany and South Africa has been sent, waiting for an update. Initiating follow-up about other countries as well.

*European license:

- 2 applications for licenses have already been submitted and are currently being processed;
- bank account opening was agreed with one bank and is currently being processed;
- a police report sent to Estonian authorities for AML and CFT;
- awaiting an exact date for an interview with authorities;
- waiting to get an approval on SOW (scope of work);
- waiting to get an approval over and list of currencies to trade.

If the specific coin doesn't have the permission to be exchanged, traded or offered -it is ILLEGAL.
If there is no permission granted for a certain coin to be traded in an exchange, that exchange can only trade conventional cryptocurrencies.

Therefore, once again we would like to remind you all that you should be extremely cautious in case you are contacted by ambitious entrepreneurs that have recently appeared on the market, offering fancy crypto products.

If you are in the region of Bucharest you can enjoy a combined deal for hair dye, a cut and styling for 70% or 50% ONE at the local hairdresser with the username Vicmar. Since we are back to the original DealShaker we would like to dedicate a separate section for the DealShaker Franchise developments, news and upcoming events. This 'column' in the newsletter is going to be dedicated to the franchisees and anybody who is registered in a franchisee country. What we have announced so far: 

1. www.dealshaker.com is fully functional and operational. 

2. All DealShaker expos will be approved through the old platform or their respective franchisee. Please see the table with the new process for a merchant to get approved and upload deals as well as the new fees and charges. 

3. Technical issues are currently being worked on in order to provide all the users of the platform will better service.

Approval procedure of merchants and Deals for DS Expos

DealShaker expo, by definition, is an event with more than 50 merchants. If an event has less than 50 merchants it is called ‘A local bazar’.

All DealShaker Expo proposals go to the Franchisee, first! Then the franchisee sends the proposal to franchise@dealshaker.com for approval.

If there is a merchant with merchant account from a different country that the country the expo is taking place, the Franchisee responsible for deals approval, contacts the franchisee the merchant is from via email for the merchant account and/or deals approval.

The franchisee in that country the merchant is from must collect the necessary fees and review the deals.

If there is no Franchisee in that county the merchant is from, all the deals must be approved by corporate and sent to the Dealshaker support for approval.


Marketing materials, banners and DealShaker logo will be available for the franchisees very soon. 

TURNOVER FEE UPDATES

Aiming to ease the process of merchant onboarding DealShaker franchisees will be granted a 3-month gratis period without a turnover fee. Turnover fee will become mandatory commencing October 1st. 


IMPORTANT DEALSHAKER UPDATE

Dear all,

It has come to our attention that recently merchants, working on other platforms have been claiming to work on behalf of DealShaker and the OneLife Network. Please be informed that no other platform, except for DealShaker and its franchisees, and no other company, except for OneLife (or OneCoin) has the right to operate with the DealShaker trademark and the services it provides. 

Be extremely cautious with any information you receive from other companies, individuals or communication channels which are different from the corporate approved ones. If you have any doubts or questions, you can always contact the OneLife teams to get the latest information, related to our projects.


DEALSHAKER FRANCHISE COMPLIANCE

General information on how the franchise model functions

1. DealShaker prices are formed in minimum 50 % ONE and 50 % EUR (if EUR part is included in the deal price). The Merchant Bonus is generated every time a buyer redeems/uses a deal coupon from a merchant, registered in your downline. The Merchant Bonus is generated on the basis of the Advertising fee which is applied to the Merchant’s used deal coupons. The DealShaker Advertising fee is 25% of the cash value of the used coupon’s price.

If the merchant is not reluctant to pay that 25 % fee from the EUR part of the price, cannot afford to offer such a large percentage of ONE from the deal price and is also willing to receive the cash part in his wallet and/or bank account, he is allowed to use the discount coupon option. If the merchant chooses to use that option, he/she must be informed to write the exact price and % discount in coins in the title of the deal. The price of the deal has to be just in ONEs (with the discount), while the EUR part should be paid outside the platform to the merchant bank account and/or wallet. A compulsory condition - if the deal is high in value it should be written in the deal description that the EUR part will be provided after the contract agreement has been signed. Buyers should be informed that such deals bear a higher risk because just the discount coupon passes through the DealShaker platform and not the good/service itself. Therefore, the usage of payment methods for the EUR part, such as wallets or payment cards with a refund policy, is highly recommended.

2. We have noticed that franchisee’s agreements have been signed for territories where cryptocurrency and/or their trade is forbidden by law. To all franchisees - please follow our weekly updates for further information regarding the countries which you are responsible for in order not to deliver incorrect information to merchants about when the coin will be traded. We will try to negotiate with such governments, but the outcome is unknown.

3. Information about DS expos - all expos on the territory of the franchisee should first be reviewed and approved by Corporate. For expo requests please send an email to franchise@dealshaker.com. The aim – you will be provided with guidance by the company about whether such an expo is compliant with local legislation, whether it is allowed or not and how it should be organized according to local regulations and the future company plans for the territory in question. The DS expo schedule will be strictly coordinated by Corporate to make sure that no expos are organized on one and the same date. If that happens, it can complicate the expo process both for expo organizers and Corporate.

4. The Franchise agreement is personal and must not be transferred to a second party without the prior written consent of the Franchisor. The sub-franchise should only be taken with prior consent by the franchisor. Bear in mind that we will agree with your choice if it is in corporate’s interest. We are expecting your proposals on what the payment for the sub-franchisee should be.

5. If the franchisee is doing the CDD procedure for a merchant and the merchant seems to be of high-risk or if the franchisee has any doubts or questions, please contact Compliance asap.

6. Will give you soon manual how to calculate turnover fee using DealShaker. Teams are working towards finding a better solution, but for now this will do the job.

THE OFC BUNDLES OFFERING. 2017 OFCs

There is no room for the price of the coin to be destabilized. We must manage to maintain stable price of ONE.

The conversion rate of 2017 OFCs to ONE won’t damage the price of the coin and won’t affect the liquidity. Currently everyone is receiving the exact same amount of ONE that they have initially converted.


!NB Due to numerous inquiries by our users, please note that the 2017 OFCs will be converted at the same rate as ONE was converted to OFC. 

The Offering is in the so-called Mandatory Discount Period. Since January 8th participants are able to convert their accumulated OFCs into ONEs.

IMPORTANT COMPLIANCE UPDATE!

Dear all,

Recently, it has come to our attention that several merchants have started to conduct fraudulent practices outside of the Dealshaker platform which constitutes a high risk of money loss to the people who participate. The deals in question are about sales of gold, real estate properties, motor vehicles and other products of high value. 

Many of the above mentioned  deals are accompanied by a tempting proposal by the merchant – the buyer should transfer his accounts to the merchant and pay part of the deal price outside of the platform in exchange of some expensive good or service. Bear in mind that this practice is strictly forbidden according to the applicable OneLife T&C 18(2). 

Please have in mind that none of those projects/deals are approved or supported by Corporate. If someone has any information about such projects/deals please do not hesitate to inform OneLife Compliance asap, so that we can take measures to stop those fraudulent practices and sanction the wrongdoer accordingly and with an immediate effect.


COMPLIANCE - GENERAL INFORMATION!

  • Exposure of IMA-s to fraudulent practice
  • Insinuations generate mistrust which is used by some OneLife IMA-s to divert attention from their own wrongful practices and actions
  • Underestimation of OneLife goal for transparency

BAD PRACTICES WHICH ARE A SUBJECT OF SEVERE SANCTIONS:

  • Sale of coins and/or educational packages as an investment opportunity (coins; accounts, etc.). OneLife is not an investment company and does not offer any investment opportunities
  • Cross recruiting - Instead of helping the network rebuilds itself, it destroys it by taking pieces from it
  • Unethical behavior
  • Onboarding with fraudulent promises
  • Misuse of power by OneLife IMA-s
  • Dissemination of incorrect and misleading information due to lack of professionalism, awareness and/ or greed

WHAT ARE SANCTIONS AND WHY ARE THEY APPLICABLE?
 
Sanctions have become the tool to respond to major violations from SPAM or/ fraudulent, deceptive or unethical business conduct by any IMA to identity theft, financial fraud and counter terrorism.
 
Violation of the applicable T&C, IMA Agreement, any fraudulent, deceptive or unethical business, conducted by an IMA may result, at Company’s discretion, in one or more of the following corrective measures, with effect from the date of its establishment:

  • Issuance of a written warning or admonition;
  • Requiring the IMA to take immediate corrective measures;
  • Imposition of a fine, which may be withheld from the account; €100 for incorrect personal data or the lack of it and 250 to €500 penalty for more minor violations and up to 5100 for major violations;
  • Loss of rights to one or more bonus payments;
  • Any other measure, which the Company deems practicable to implement to equitably resolve any damage caused partially or exclusively by the IMAs policy violation or contractual breach;
  • Suspension of the individual’s IMA position for one or more pay periods;
  • Involuntary cancellation of the offending IMA position;
  • Immediate removal of the IMA’s web page(s) and termination of the IMA’s position;
  • Any other measures explicitly allowed within any provision of the General Terms and Conditions, the present IMA Agreement or allowed by law

The IMA is only entitled to a commission if he or she is not in violation of the General Terms and Conditions and the IMA Agreement.
 
Factors that may modify the application of sanctions:
 
Sanctions could be modified based on mitigating factors or factors that may reflect in a greater damage,caused by the breach and thus work against the offender, ultimately increasing the penalty.
 
Examples of aggravate sanctioning include:

  • Multiple offences
  • Breach of sensitive information such as personal data  
  • High volume of people or data affected  
  • High exposure for the Company  
  • Large organizational expense incurred  
  • Activities, hampering the investigation, such as providing of misleading and/or incorrect information
  • Actions with a negative influence on others  
  • If the violation is continuing even after an official warning  


Factors that could mitigate sanctioning include:

  • Breach occurred as a result of attempting to help an IMA  
  • Victim(s) that suffered no harm
  • Offender voluntarily admitted the breach and cooperated with the investigation
  • Offender showed remorse and has recovered damages
  • Action was taken under pressure from an individual in a position of authority  

This practice enables the application of general principles that lead to fair and consistent outcomes.

WHISTLE BLOWING REPORT

In order to keep our IMAs’ privacy and at the same time to implement efficient control and reporting system we have developed a reporting system allowing reporting and monitoring functions without exposing the identity of the person that has sent the report and creating unnecessary tension in the community.

Whistleblowers inform the Company of any kind of information or activity that can be deemed illegal, unethical, or not correct with the polices, procedures and guidelines of the OneLife organization.

WHEN SHOULD YOU SEND A WHISTLE BLOWING REPORT?

If you think an entity or individual is involved in wrongdoing within our OneLife community, and you want to report it, please use the Whistle Blowing Report. Once completed, this report becomes CONFIDENTIAL. All personal data collected will only be used for purposes, which are directly related to the whistleblowing case like, for example, contacting you in case we need more information.

Every whistleblower will have to provide an evidence of the claim made in the report. Please send your Whistle Blowing Report to: compliance@onelife.eu.

Evidences could be: screen shots of skype/viber/facebook/other social media chats and communications; e-mail correspondence; a declaration in writing, i.e. Whistle Blowing Report, (please fill in your personal data) and signed by the IMA.

Please fill in the Whistle Blowing Report carefully as this represents your case . We will review the information you provided, investigate the case and come back to you with feedback, when our investigation is completed.

We would like to remind all OneLife members to strictly adhere to the provisions in our Terms and Conditions, to which all members are legally bound, concerning thedissemination of false information regarding the OneLife Network company.

Any proven violation including, but not limited to misleading information about an IMA official Leadership Rank, OneLife products and services or the company’s compensation plan may result in severe sanctions, reaching fines up to 5 100 EUR, effective immediately.

IT development

*Ongoing work for creating an additional mechanism, based on the One Ecosystem concept which establishes coin price stability and also facilitates Exchange demand.

*Ongoing work for the application of Exchange limits based on the liquidity (no limits applicable from wallet to wallet as it is an internal transfer) CDD platform separated from the Exchange (not compulsory for start, but mandatory in two months after the start) is now under development and will be ready in 6 weeks. Non-European CB was informed as well as the CD for the European license since this is a must for them both. The scope of work and the agreement were shared with both European and non-European central banks.

Licensing and IT Audit
*The exact date of the physical meeting with the CB is planned to be announced after the completion of AML/CFT bank seminar (14-16 July). Immediately аfter the seminar the Exchange company will receive preliminary information preceding the meeting with the CB.

CB will allow the platform to trade and exchange a limited number of coins - they issued a policy for approved coins for trading to be applied by the licensed exchanges. If non-approved coins are added the document should pass through a specific approval process. We are still not familiar with the list of documents required.

*Exchange limits – There is an ongoing discussion about Limits. Limits between coin accounts are not applicable as it is an internal transfer and will ease the parties in co-ownership.
*Ongoing discussion for the priorities in the Exchange and how they will be executed

Compliance
*Countries: The Exchange company have not received any updates from the countries.
* Exchange: Business plan was shared with the European responsible authority to be included to the license. Negotiations about the crypto trade are ongoing. The Exchange company is running two parallel processes: bank account opening and licenses application that is under processing and development. Shared capital is now ready to be deposited once a bank account is open.

Since we are back to the original DealShaker we would like to dedicate a separate section for the DealShaker Franchise developments, news and upcoming events. This 'column' in the newsletter is going to be dedicated to the franchisees and anybody who is registered in a franchisee country. In order to find the most accurate information, presentations and imagery for upcoming events, expos and trainings, please see the next few lines!

What we have announced so far: 

1. www.dealshaker.com is fully functional and operational. 

2. All DealShaker expos will be approved through the old platform or their respective franchisee. Please see the table with the new process for a merchant to get approved and upload deals as well as the new fees and charges. 

3. Technical issues are currently being worked on in order to provide all the users of the platform will better service.

Approval procedure of merchants and Deals for DS Expos

DealShaker expo, by definition, is an event with more than 50 merchants. If an event has less than 50 merchants it is called ‘A local bazar’.

All DealShaker Expo proposals go to the Franchisee, first! Then the franchisee sends the proposal to franchise@dealshaker.com for approval.

If there is a merchant with merchant account from a different country that the country the expo is taking place, the Franchisee responsible for deals approval, contacts the franchisee the merchant is from via email for the merchant account and/or deals approval.

The franchisee in that country the merchant is from must collect the necessary fees and review the deals.

If there is no Franchisee in that county the merchant is from, all the deals must be approved by corporate and sent to the Dealshaker support for approval.

Marketing materials, banners and DealShaker logo will be available for the franchisees very soon. 

TURNOVER FEE UPDATES

Aiming to ease the process of merchant onboarding DealShaker franchisees will be granted a 3-month gratis period without a turnover fee. Turnover fee will become mandatory commencing October 1st. 


DEALSHAKER FRANCHISE COMPLIANCE

General information on how the franchise model functions

1. DealShaker prices are formed in minimum 50 % ONE and 50 % EUR (if EUR part is included in the deal price). The Merchant Bonus is generated every time a buyer redeems/uses a deal coupon from a merchant, registered in your downline. The Merchant Bonus is generated on the basis of the Advertising fee which is applied to the Merchant’s used deal coupons. The DealShaker Advertising fee is 25% of the cash value of the used coupon’s price.

If the merchant is not reluctant to pay that 25 % fee from the EUR part of the price, cannot afford to offer such a large percentage of ONE from the deal price and is also willing to receive the cash part in his wallet and/or bank account, he is allowed to use the discount coupon option. If the merchant chooses to use that option, he/she must be informed to write the exact price and % discount in coins in the title of the deal. The price of the deal has to be just in ONEs (with the discount), while the EUR part should be paid outside the platform to the merchant bank account and/or wallet. A compulsory condition - if the deal is high in value it should be written in the deal description that the EUR part will be provided after the contract agreement has been signed. Buyers should be informed that such deals bear a higher risk because just the discount coupon passes through the DealShaker platform and not the good/service itself. Therefore, the usage of payment methods for the EUR part, such as wallets or payment cards with a refund policy, is highly recommended.

2. We have noticed that franchisee’s agreements have been signed for territories where cryptocurrency and/or their trade is forbidden by law. To all franchisees - please follow our weekly updates for further information regarding the countries which you are responsible for in order not to deliver incorrect information to merchants about when the coin will be traded. We will try to negotiate with such governments, but the outcome is unknown.

3. Information about DS expos - all expos on the territory of the franchisee should first be reviewed and approved by Corporate. For expo requests please send an email to franchise@dealshaker.com. The aim – you will be provided with guidance by the company about whether such an expo is compliant with local legislation, whether it is allowed or not and how it should be organized according to local regulations and the future company plans for the territory in question. The DS expo schedule will be strictly coordinated by Corporate to make sure that no expos are organized on one and the same date. If that happens, it can complicate the expo process both for expo organizers and Corporate.

4. The Franchise agreement is personal and must not be transferred to a second party without the prior written consent of the Franchisor. The sub-franchise should only be taken with prior consent by the franchisor. Bear in mind that we will agree with your choice if it is in corporate’s interest. We are expecting your proposals on what the payment for the sub-franchisee should be.

5. If the franchisee is doing the CDD procedure for a merchant and the merchant seems to be of high-risk or if the franchisee has any doubts or questions, please contact Compliance asap.

6. Will give you soon manual how to calculate turnover fee using DealShaker. Teams are working towards finding a better solution, but for now this will do the job.


THE OFC BUNDLES OFFERING. 2017 OFCs

There is no room for the price of the coin to be destabilized. We must manage to maintain stable price of ONE.

The conversion rate of 2017 OFCs to ONE won’t damage the price of the coin and won’t affect the liquidity. Currently everyone is receiving the exact same amount of ONE that they have initially converted.


!NB Due to numerous inquiries by our users, please note that the 2017 OFCs will be converted at the same rate as ONE was converted to OFC. 

The Offering is in the so-called Mandatory Discount Period. Since January 8th participants are able to convert their accumulated OFCs into ONEs.

Recently, it has come to our attention that several merchants have started to conduct fraudulent practices outside of the Dealshaker platform which constitutes a high risk of money loss to the people who participate. The deals in question are about sales of gold, real estate properties, motor vehicles and other products of high value. 

Many of the above mentioned  deals are accompanied by a tempting proposal by the merchant – the buyer should transfer his accounts to the merchant and pay part of the deal price outside of the platform in exchange of some expensive good or service. Bear in mind that this practice is strictly forbidden according to the applicable OneLife T&C 18(2). 

Please have in mind that none of those projects/deals are approved or supported by Corporate. If someone has any information about such projects/deals please do not hesitate to inform OneLife Compliance asap, so that we can take measures to stop those fraudulent practices and sanction the wrongdoer accordingly and with an immediate effect.

  • Sale of coins and/or educational packages as an investment opportunity (coins; accounts, etc.). OneLife is not an investment company and does not offer any investment opportunities
  • Cross recruiting - Instead of helping the network rebuilds itself, it destroys it by taking pieces from it
  • Unethical behavior
  • Onboarding with fraudulent promises
  • Misuse of power by OneLife IMA-s

  • Multiple offences
  • Breach of sensitive information such as personal data  
  • High volume of people or data affected  
  • High exposure for the Company  
  • Large organizational expense incurred  
  • Activities, hampering the investigation, such as providing of misleading and/or incorrect information
  • Actions with a negative influence on others  
  • If the violation is continuing even after an official warning  

Factors that could mitigate sanctioning include:

  • Breach occurred as a result of attempting to help an IMA  
  • Victim(s) that suffered no harm
  • Offender voluntarily admitted the breach and cooperated with the investigation
  • Offender showed remorse and has recovered damages
  • Action was taken under pressure from an individual in a position of authority  

This practice enables the application of general principles that lead to fair and consistent outcomes.

WHISTLE BLOWING REPORT

In order to keep our IMAs’ privacy and at the same time to implement efficient control and reporting system we have developed a reporting system allowing reporting and monitoring functions without exposing the identity of the person that has sent the report and creating unnecessary tension in the community.

Whistleblowers inform the Company of any kind of information or activity that can be deemed illegal, unethical, or not correct with the polices, procedures and guidelines of the OneLife organization.

WHEN SHOULD YOU SEND A WHISTLE BLOWING REPORT?

If you think an entity or individual is involved in wrongdoing within our OneLife community, and you want to report it, please use the Whistle Blowing Report. Once completed, this report becomes CONFIDENTIAL. All personal data collected will only be used for purposes, which are directly related to the whistleblowing case like, for example, contacting you in case we need more information.

Every whistleblower will have to provide an evidence of the claim made in the report. Please send your Whistle Blowing Report to: compliance@onelife.eu.

Evidences could be: screen shots of skype/viber/facebook/other social media chats and communications; e-mail correspondence; a declaration in writing, i.e. Whistle Blowing Report, (please fill in your personal data) and signed by the IMA.

*Ongoing work for creating an additional mechanism, based on the One Ecosystem concept which establishes coin price stability and also facilitates Exchange demand. 
*Ongoing work for application of Exchange limits (no limits applicable from wallet to wallet as it is an internal transfer)

Licensing and IT Audit

*The exact date of the physical meeting with the CB is planned to be announced after the completion of AML/CFT bank seminar (14-16 July). The IT committee report regarding the coins and tokens is going to be presented during the meeting together with the fee approval. All the fees and expenses for the bank seminar have been fully paid this week. The CB seminar is obligatory. 
CB will allow the platform to trade and exchange a limited number of coins - they issued a policy for approved coins for trading to be applied by the licensed exchanges. if non-approved coins are added the document should pass through specific approval process. Still not aware what documents will be required.
*Payment gateway – the Exchange company has sent protocols of the business to 3 payment gateways (protocol is how the business is going to operate and via which platforms) however a further final approval is required by the CB in order to proceed with our request. Thus, this will remain with a status ‘Pending’ until the moment we get the final CB approval.
*Exchange limits – There is an ongoing discussion about Limits. Limits between coin accounts are not applicable as it is an internal transfer and will ease the parties in co-ownership.

Compliance
*Countries: The Exchange company have not received any updates from the countries and the file is still at the status it was last week. Another reminder was sent yesterday to all the countries. This week all DealShaker franchisee countries were reviewed as well as inquiries were sent to the responsible authorities. 
*For European license: Three applications together are under processing and there is a positive sign and approval of CB bank to open a bank account for the already created entity. The Exchange company is still waiting for an answer from the two other banks but can proceed with bank account opening when the shared capital (obligatory) is prepared.

2. All DealShaker expos will be approved through the old platform or their respective franchisee. Please see the table with the new process for a merchant to get approved and upload deals as well as the new fees and charges.

Approval procedure of merchants and Deals for DS Expos

DealShaker expo, by definition, is an event with more than 50 merchants. If an event has less than 50 merchants it is called ‘A local bazar’.

All DealShaker Expo proposals go to the Franchisee, first! Then the franchisee sends the proposal to franchise@dealshaker.com for approval.

If there is a merchant with merchant account from a different country that the country the expo is taking place, the Franchisee responsible for deals approval, contacts the franchisee the merchant is from via email for the merchant account and/or deals approval.

The franchisee in that country the merchant is from must collect the necessary fees and review the deals.

If there is no Franchisee in that county the merchant is from, all the deals must be approved by corporate and sent to the Dealshaker support for approval.


Marketing materials, banners and DealShaker logo will be available for the franchisees very soon. 

TURNOVER FEE UPDATES

Aiming to ease the process of merchant onboarding DealShaker franchisees will be granted a 3-month gratis period without a turnover fee. Turnover fee will become mandatory commencing October 1st. 


DEALSHAKER FRANCHISE COMPLIANCE

General information on how the franchise model functions

1. DealShaker prices are formed in minimum 50 % ONE and 50 % EUR (if EUR part is included in the deal price). The Merchant Bonus is generated every time a buyer redeems/uses a deal coupon from a merchant, registered in your downline. The Merchant Bonus is generated on the basis of the Advertising fee which is applied to the Merchant’s used deal coupons. The DealShaker Advertising fee is 25% of the cash value of the used coupon’s price.

If the merchant is not reluctant to pay that 25 % fee from the EUR part of the price, cannot afford to offer such a large percentage of ONE from the deal price and is also willing to receive the cash part in his wallet and/or bank account, he is allowed to use the discount coupon option. If the merchant chooses to use that option, he/she must be informed to write the exact price and % discount in coins in the title of the deal. The price of the deal has to be just in ONEs (with the discount), while the EUR part should be paid outside the platform to the merchant bank account and/or wallet. A compulsory condition - if the deal is high in value it should be written in the deal description that the EUR part will be provided after the contract agreement has been signed. Buyers should be informed that such deals bear a higher risk because just the discount coupon passes through the DealShaker platform and not the good/service itself. Therefore, the usage of payment methods for the EUR part, such as wallets or payment cards with a refund policy, is highly recommended.

2. We have noticed that franchisee’s agreements have been signed for territories where cryptocurrency and/or their trade is forbidden by law. To all franchisees - please follow our weekly updates for further information regarding the countries which you are responsible for in order not to deliver incorrect information to merchants about when the coin will be traded. We will try to negotiate with such governments, but the outcome is unknown.

3. Information about DS expos - all expos on the territory of the franchisee should first be reviewed and approved by Corporate. For expo requests please send an email to franchise@dealshaker.com. The aim – you will be provided with guidance by the company about whether such an expo is compliant with local legislation, whether it is allowed or not and how it should be organized according to local regulations and the future company plans for the territory in question. The DS expo schedule will be strictly coordinated by Corporate to make sure that no expos are organized on one and the same date. If that happens, it can complicate the expo process both for expo organizers and Corporate.

4. The Franchise agreement is personal and must not be transferred to a second party without the prior written consent of the Franchisor. The sub-franchise should only be taken with prior consent by the franchisor. Bear in mind that we will agree with your choice if it is in corporate’s interest. We are expecting your proposals on what the payment for the sub-franchisee should be.

5. If the franchisee is doing the CDD procedure for a merchant and the merchant seems to be of high-risk or if the franchisee has any doubts or questions, please contact Compliance asap.

6. Will give you soon manual how to calculate turnover fee using DealShaker. Teams are working towards finding a better solution, but for now this will do the job.

As said months ago the conversion was planned to start in March. In the beginning of this month the conversion of 2017 OFCs has started, and during this month everyone is receiving 20% of the coins they are entitled to.

The conversion rate of 2017 OFCs to ONE won’t damage the price of the coin and won’t affect the liquidity. Currently everyone is receiving the exact same amount of ONE that they have initially converted.


!NB Due to numerous inquiries by our users, please note that the 2017 OFCs will be converted at the same rate as ONE was converted to OFC. 

The Offering is in the so-called Mandatory Discount Period. Since January 8th participants are able to convert their accumulated OFCs into ONEs.

IMPORTANT COMPLIANCE UPDATE!

Dear all,

Recently, it has come to our attention that several merchants have started to conduct fraudulent practices outside of the Dealshaker platform which constitutes a high risk of money loss to the people who participate. The deals in question are about sales of gold, real estate properties, motor vehicles and other products of high value. 

Many of the above mentioned  deals are accompanied by a tempting proposal by the merchant – the buyer should transfer his accounts to the merchant and pay part of the deal price outside of the platform in exchange of some expensive good or service. Bear in mind that this practice is strictly forbidden according to the applicable OneLife T&C 18(2). 

Please have in mind that none of those projects/deals are approved or supported by Corporate. If someone has any information about such projects/deals please do not hesitate to inform OneLife Compliance asap, so that we can take measures to stop those fraudulent practices and sanction the wrongdoer accordingly and with an immediate effect.


COMPLIANCE - GENERAL INFORMATION!

GAPS IN THE COMPLIANCE KNOWLEDGE LEAD TO:

  • Unreasonable fear Compliance is only sanctioning department
  • Belief equality between OneLife IMA-s does not exist
  • Exposure of IMA-s to fraudulent practice
  • Insinuations generate mistrust which is used by some OneLife IMA-s to divert attention from their own wrongful practices and actions

BAD PRACTICES WHICH ARE A SUBJECT OF SEVERE SANCTIONS:

  • Sale of coins and/or educational packages as an investment opportunity (coins; accounts, etc.). OneLife is not an investment company and does not offer any investment opportunities
  • Cross recruiting - Instead of helping the network rebuilds itself, it destroys it by taking pieces from it
  • Unethical behavior
  • Onboarding with fraudulent promises
  • Misuse of power by OneLife IMA-s
  • Dissemination of incorrect and misleading information due to lack of professionalism, awareness and/ or greed

WHAT ARE SANCTIONS AND WHY ARE THEY APPLICABLE?
 
Sanctions have become the tool to respond to major violations from SPAM or/ fraudulent, deceptive or unethical business conduct by any IMA to identity theft, financial fraud and counter terrorism.
 
Violation of the applicable T&C, IMA Agreement, any fraudulent, deceptive or unethical business, conducted by an IMA may result, at Company’s discretion, in one or more of the following corrective measures, with effect from the date of its establishment:

  • Issuance of a written warning or admonition;
  • Requiring the IMA to take immediate corrective measures;
  • Imposition of a fine, which may be withheld from the account; €100 for incorrect personal data or the lack of it and 250 to €500 penalty for more minor violations and up to 5100 for major violations;
  • Loss of rights to one or more bonus payments;
  • Any other measure, which the Company deems practicable to implement to equitably resolve any damage caused partially or exclusively by the IMAs policy violation or contractual breach;
  • Suspension of the individual’s IMA position for one or more pay periods;
  • Involuntary cancellation of the offending IMA position;
  • Immediate removal of the IMA’s web page(s) and termination of the IMA’s position;
  • Any other measures explicitly allowed within any provision of the General Terms and Conditions, the present IMA Agreement or allowed by law

The IMA is only entitled to a commission if he or she is not in violation of the General Terms and Conditions and the IMA Agreement.
